Terms of Service

These Terms govern your access to and use of KerbSense services. By using our services, you agree to these Terms.

1) Eligibility

You must be at least 18 years old and have legal authority to enter into these Terms on behalf of the organization you represent.

2) Accounts & Access

  • You are responsible for maintaining the confidentiality of credentials and for all activity under your account.
  • Provide accurate information and keep it up to date.
  • We may suspend or terminate access for suspected misuse, security risk, or non-payment.

3) Acceptable Use

  • Do not interfere with, overload, or attempt to bypass security or access controls.
  • Do not use the services for illegal activity or to infringe third-party rights.
  • Respect rate limits, fair-use constraints, and applicable laws.

4) Services, Trials & SLAs

  • Pilots and trials are provided “as is.” Production services follow the SLA in your Order Form or MSA.
  • We may modify features; material adverse changes will be communicated in advance where reasonable.
  • Integrations with third parties are provided subject to those parties’ terms.

5) Data Protection & Privacy

We process personal data as described in our Privacy Notice. A Data Processing Addendum may apply where required.

6) Fees & Payment

  • Fees, billing frequency, and taxes are defined in your Order Form.
  • Late amounts may accrue interest and lead to suspension after notice.

7) Intellectual Property & Feedback

  • KerbSense retains all rights in the services and underlying IP.
  • You retain rights to your data. You grant us a limited license to use it to provide and improve the services.
  • Feedback may be used without restriction.

8) Confidentiality

Each party must protect the other’s confidential information with at least reasonable care and use it only as permitted under these Terms.

9) Warranties & Disclaimers

Except as expressly stated, the services are provided “as is” without warranties of any kind. We disclaim implied warranties of merchantability, fitness, and non-infringement to the maximum extent permitted by law.

10) Limitation of Liability

To the fullest extent permitted by law: (a) neither party is liable for indirect or consequential damages; and (b) each party’s aggregate liability is limited to fees paid for the 12 months preceding the claim.

11) Term, Suspension & Termination

  • Either party may terminate for material breach if not cured within 30 days of notice.
  • Upon termination, access ends and you must cease use. Certain sections survive.

12) Governing Law & Venue

These Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the English courts.

13) Changes to These Terms

We may update these Terms. We’ll post the new version with an updated effective date and, for material changes, provide reasonable notice.
